The Opportunity
As Deputy Company Secretary, you will support the Executive Director, Corporate Secretariat & Governance across QIC’s governance functions, ensuring seamless operation of decision-making frameworks, and strategic stakeholder engagement. You’ll be a trusted advisor and operator across QIC’s internal governance framework, product structuring, reporting, and external obligations. This is a hands-on, relationship-driven role with a clear impact on the business and its future growth.
Key Responsibilities
- Coordinate and support Board, Committee, and Management meetings (including minute-taking, agendas, and distribution of materials).
- Providing governance support for QIC’s offshore entities and decision-making frameworks.
- Act on behalf of the Executive Director as required, ensuring continuity of governance responsibilities.
- Maintain statutory records, registers and corporate documentation in compliance with regulatory requirements.
- Support Board and shareholder communications, including preparation of Annual Reports, Statements of Corporate Intent, and other disclosures.
- Manage electronic board portals and document lodgements with regulators e.g. ASIC.
- Assist with the induction of directors and execution of governance documents e.g. powers of attorney, indemnities.
- Monitor compliance with Charters, policies, and internal governance frameworks.
- Provide governance support to QIC’s investment trusts and complex investment vehicles.
- Build strong relationships with internal stakeholders and government shareholders.
- Support process improvement across Secretariat and governance-related systems.
About You:
- 5+ years' experience in a company secretarial or legal/governance role.
- Qualified or progressing toward a company secretarial qualification (e.g., GIA/CSA).
- Proven experience taking minutes, managing compliance obligations, and coordinating with Boards.
- Excellent attention to detail, document management and written communication skills.
- Strong interpersonal skills with the ability to work effectively in a close-knit, high-performing team.
- Experience in funds management, investment structures, corporate operations in both Australian and offshore entities and GOC (government-owned corporation) environments highly regarded.
- Knowledge of international governance or trademark application processes is advantageous.
